These Terms of Service (“Terms”) govern your access to and use of the IUC Alumni Portal (the “Portal”). By using the Portal, you agree to these Terms. If you do not agree, do not use the Portal.
At a glance
- Be respectful; use the Portal for alumni networking and community purposes only.
- No scraping, bulk exporting, or unauthorized automated access.
- Your content remains yours; you grant us the rights needed to operate the Portal.
- The Portal is provided on an “as is” basis with limited liability.
1) Eligibility & Accounts
The Portal is intended for IUC alumni and authorized community participants. You must be at least 18 years old. You agree to provide accurate information and keep your profile current. You are responsible for activity under your account.
2) Authentication & Security
The Portal uses passwordless (magic‑link) authentication and session cookies. Do not share access links or permit others to use your account. Notify us immediately of any suspected unauthorized use or security issue.
3) Acceptable Use
- Use the Portal for alumni networking, mentoring, events, and community purposes consistent with IUC's mission.
- No unlawful, harassing, defamatory, discriminatory, or otherwise harmful activity.
- No spam or unsolicited mass messaging; respect other users' preferences and privacy choices.
- No scraping, crawling, bulk exporting, harvesting of emails/phone numbers, or automated access without prior written permission.
- No reverse engineering, probing, or security testing without explicit authorization.
- Respect rate limits and technical restrictions; do not interfere with or disrupt the Portal.
4) Your Content & License
You retain ownership of the content you submit (e.g., profile details, posts). You grant IUC a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, display, and distribute such content solely to operate and improve the Portal and related alumni engagement activities. You represent you have the rights to submit the content and that it does not infringe others' rights or violate law.
5) Directory & Communications
Directory visibility is opt‑in at the field level (see the Privacy Policy for details). Information visible in the directory may only be used for person‑to‑person alumni connection consistent with these Terms. Using directory data for marketing, lead generation, or recruitment without permission is prohibited. Jobs/mentorship postings and event information are user‑generated; IUC does not endorse, vet, or guarantee such content.
6) Third‑Party Services & Links
The Portal integrates with service providers (e.g., hosting, authentication, storage) and may display embedded or linked content (such as social feeds). Third‑party terms and privacy policies govern those services. We are not responsible for third‑party sites or content.
7) Availability & Changes
We aim to keep the Portal available and evolving, but we may modify, suspend, or discontinue features or the Portal at any time. Maintenance windows or incidents may affect availability. We may offer beta or experimental features that may be unstable or change rapidly.
8) Intellectual Property
The Portal, including its design, software, and content (excluding user content), is owned by or licensed to IUC and its licensors and is protected by intellectual property laws. Institutional names, logos, and marks may not be used without permission.
9) Feedback
If you provide suggestions or feedback, you grant IUC a royalty‑free, perpetual license to use them without restriction or obligation.
10) Disclaimers
THE PORTAL IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. IUC DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT DEFECTS WILL BE CORRECTED.
11) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IUC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND VOLUNTEERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, THE TOTAL AGGREGATE LIABILITY RELATING TO THE PORTAL SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID (IF ANY) FOR ACCESS TO THE PORTAL IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
12) Indemnification
You agree to defend, indemnify, and hold harmless IUC and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Portal or violation of these Terms.
13) Termination
We may suspend or terminate your access at any time, including for violation of these Terms or misuse of the Portal. You may stop using the Portal at any time. Sections that by their nature should survive termination shall survive (e.g., content license, IP, disclaimers, limitations of liability, indemnity, and governing law).
14) Governing Law & Venue
These Terms are governed by the laws of the State of California, USA, without regard to conflict‑of‑laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California for any dispute arising from or relating to these Terms or the Portal.
15) Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with a new “Last updated” date and, when appropriate, additional notice. Continued use of the Portal after changes take effect constitutes acceptance of the revised Terms.

17) Miscellaneous
- Entire Agreement: These Terms and the Privacy Policy are the entire agreement regarding the Portal.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- No Waiver: Failure to enforce any provision is not a waiver.
- Assignment: You may not assign these Terms without consent; we may assign as permitted by law.
- Headings: Headings are for convenience only.
